Baron Meddy Financial Inc. and its subsidiaries, affiliates, and associated platforms are private commercial entities. The following disclosures describe the regulatory status of Baron Meddy Financial and are material to your understanding of the nature and limitations of the services provided:

  • Not a Registered Investment Adviser: Baron Meddy Financial Inc. is not registered as an investment adviser under the Investment Advisers Act of 1940, as amended, or under any applicable state investment adviser registration statute. The Company does not provide investment advisory services as defined under applicable securities law.
  • Not a Registered Broker-Dealer: Baron Meddy Financial Inc. is not registered as a broker-dealer under Section 15 of the Securities Exchange Act of 1934, as amended, and is not a member of the Financial Industry Regulatory Authority (FINRA) or the Securities Investor Protection Corporation (SIPC). The Company does not engage in securities brokerage activities that require broker-dealer registration.
  • Not a Licensed Lender: Baron Meddy Financial Inc. does not hold a lending license under applicable federal or state law and does not directly originate, fund, or service loans. All lending and financing activities facilitated through the Company's platforms are conducted through licensed, regulated financial institution partners.
  • Not a Money Services Business: Baron Meddy Financial Inc. does not transmit money, exchange currency, or provide payment services that would require registration as a money services business under the Bank Secrecy Act or applicable state money transmission laws.

Baron Meddy Financial facilitates access to capital markets, financing, and financial intelligence services through its platforms and institutional partnerships. The regulated financial activities underlying these services are conducted by Baron Meddy Financial's licensed institutional partners, which are separately regulated by the appropriate federal and state financial regulatory authorities.

Article 3
Not a Bank or Broker-Dealer

Baron Meddy Financial Inc. is not a bank, savings association, credit union, or other federally or state-chartered depository institution. This distinction carries the following material implications for users of our platforms and services:

  • No FDIC Insurance: Funds deposited with or held in connection with transactions facilitated through Baron Meddy Financial's platforms are not insured by the Federal Deposit Insurance Corporation (FDIC), the National Credit Union Administration (NCUA), or any other federal or state deposit insurance program. You may lose some or all of the funds involved in any transaction facilitated through our platforms.
  • No SIPC Protection: Because Baron Meddy Financial is not a registered broker-dealer and is not a SIPC member, securities or investment-related assets held in connection with activities on our platforms are not protected by the Securities Investor Protection Corporation.
  • No Deposit-Taking: Baron Meddy Financial does not accept deposits, maintain demand deposit accounts, or provide any service that constitutes deposit-taking under applicable banking law. Any funds associated with transactions facilitated through our platforms are held and disbursed by licensed banking partners acting in their capacity as regulated depository institutions.
  • No Banking Charter: Baron Meddy Financial does not operate under a federal or state banking charter and is not subject to examination or supervision by the Office of the Comptroller of the Currency (OCC), the Federal Reserve, the FDIC, or any state banking regulatory authority in its capacity as a bank.
Important: If you are considering participating in any financing or investment activity facilitated through Baron Meddy Financial's platforms, you should be aware that the protections afforded to depositors and investors at regulated banks and broker-dealers do not apply. Please consult a qualified financial adviser before proceeding.
Investment & Risk
Article 4
No Investment Advice

Nothing on the Baron Meddy Financial website, in any of its publications, or through any of its platforms constitutes investment advice, financial advice, legal advice, tax advice, or any other form of professional advice regulated under applicable law. All content, data, intelligence, market commentary, platform features, and communications provided by Baron Meddy Financial are for informational and operational purposes only.

Specifically, the following do not constitute investment advice or a recommendation to take any investment action:

  • Market intelligence, analytical reports, and data segments provided through the BMIQ platform;
  • Capital markets deal flow information, borrower profiles, or yield estimates presented through yieldOS;
  • Procurement opportunity data, contract award intelligence, or financing availability information provided through BMRegistry;
  • Credit scores, credit profile assessments, or financing readiness indicators provided through ScoreStride;
  • Insights publications, white papers, market commentary, and research published on the Baron Meddy Financial website or distributed via newsletter;
  • Any oral or written communication from a Baron Meddy Financial representative that has not been expressly designated as formal investment advice in a signed engagement letter.

Baron Meddy Financial strongly encourages all users, investors, and financing applicants to seek independent legal, financial, and tax advice from qualified professionals before making any investment, financing, or business decision based on information obtained through our website, platforms, or communications.

Article 5
Investment Risk Disclosures

Participation in capital markets activities, private credit products, and financing arrangements facilitated through Baron Meddy Financial's platforms involves substantial financial risk. The following risk disclosures are provided to ensure that all participants have a clear understanding of the risks involved before engaging with our capital markets infrastructure:

  • Risk of Total Loss: All investments, financing arrangements, and capital deployments involve the risk of partial or total loss of principal. There is no guarantee of return on any amount deployed through Baron Meddy Financial's platforms. Participants should only commit capital they can afford to lose entirely.
  • No Guaranteed Returns: Past performance of any transaction, portfolio, platform feature, or financing product facilitated through Baron Meddy Financial is not indicative of future performance. Any yield estimates, historical return data, or projected performance figures presented on our platforms are illustrative only and do not constitute a promise or guarantee of future returns.
  • Illiquidity Risk: Private credit products and alternative financing instruments facilitated through yieldOS are inherently illiquid. There is no established secondary market for the sale or transfer of interests in these products. Participants should be prepared to hold their positions to maturity and should not commit capital that they may need to access on short notice.
  • Credit and Default Risk: Financing products involve the risk that a borrower may fail to make scheduled payments or may default on their obligations entirely. Baron Meddy Financial's credit underwriting and KYC processes reduce but do not eliminate credit risk. A borrower's financial condition may deteriorate after the commencement of a financing arrangement.
  • Concentration Risk: Baron Meddy Financial's platforms focus primarily on two sectors — freight logistics and government contracting. Capital partners and lenders who deploy capital exclusively through these platforms may have concentrated sector exposure, which may amplify the impact of adverse developments in these specific sectors.
  • Regulatory and Legal Risk: The legal and regulatory environment governing private credit, alternative finance, fintech, and government contracting is subject to ongoing change. New legislation, regulatory guidance, or judicial decisions may adversely affect the availability, structure, or enforceability of financial products and services offered through our platforms.
  • Operational and Technology Risk: The availability and reliability of Baron Meddy Financial's platforms depend on technology infrastructure that is subject to outages, cyberattacks, software defects, and other operational failures. A technology failure may affect your ability to access your account, monitor positions, or execute transactions.
  • Macroeconomic Risk: Broader economic conditions — including interest rate changes, inflation, recession, credit market tightening, or disruptions to the freight or government contracting sectors — may adversely affect the performance of financing arrangements facilitated through our platforms.

This risk disclosure is not exhaustive and does not describe every risk associated with participation in capital markets or financing activities. You are solely responsible for evaluating the risks applicable to your specific circumstances and for making an independent determination as to whether any particular financing or investment activity is appropriate for you.

Article 6
Accredited Investor Notice

Certain capital markets products, private credit opportunities, and investment-related features available through Baron Meddy Financial's platforms — particularly yieldOS — are offered exclusively to Accredited Investors and Qualified Institutional Buyers (QIBs) as defined under applicable federal securities law, including Rule 501(a) of Regulation D under the Securities Act of 1933, as amended, and Rule 144A under the Securities Act.

These restrictions exist because the investment products facilitated through our platforms have not been registered under the Securities Act of 1933 or any applicable state securities law, and are offered in reliance on exemptions from registration that are available only where all participants meet applicable accreditation or qualification thresholds.

These products are not suitable for all investors. They involve substantial risk of loss, are illiquid, and are appropriate only for investors who have the financial sophistication to evaluate the risks involved and the financial capacity to bear a total loss of their investment. Access by non-accredited investors is prohibited and may constitute a violation of federal securities law.

By accessing restricted platform features on yieldOS or any other Baron Meddy Financial platform, you represent and warrant under penalty of applicable law that you meet the applicable accreditation or qualification threshold. Baron Meddy Financial reserves the right to verify accreditation status at any time and to restrict or terminate access where accreditation cannot be confirmed.

Nothing in these disclosures constitutes an offer to sell or a solicitation of an offer to purchase any security. Any such offer or solicitation will be made only through formal offering documents provided to eligible investors in compliance with applicable securities law.

Article 7
Forward-Looking Statements

Certain statements made on the Baron Meddy Financial website, in its publications, newsletters, white papers, platform content, and in communications from its representatives may constitute "forward-looking statements" within the meaning of applicable securities law. Forward-looking statements are statements that are not historical facts and that express or imply expectations about future events, financial performance, platform capabilities, business developments, or market conditions.

Forward-looking statements may be identified by the use of words such as "anticipate," "expect," "intend," "plan," "project," "estimate," "believe," "may," "will," "should," "could," "target," "outlook," or similar expressions. These statements reflect the current views, expectations, and assumptions of Baron Meddy Financial at the time they are made, and are subject to significant risks and uncertainties that could cause actual results, performance, or outcomes to differ materially from those expressed or implied.

Factors that could cause actual results to differ materially from forward-looking statements include, without limitation:

  • Changes in market conditions, interest rates, credit availability, or macroeconomic factors;
  • Changes in applicable law, regulation, or regulatory guidance affecting private credit, fintech, or government contracting;
  • Technology failures, cybersecurity incidents, or operational disruptions affecting platform availability;
  • The performance of borrowers and the quality of receivables originated through our platforms;
  • Competition from other capital markets platforms or alternative finance providers;
  • The availability of institutional capital partners and the terms on which capital is deployed;
  • Geopolitical events, pandemics, natural disasters, or other force majeure events.

Baron Meddy Financial undertakes no obligation to update or revise any forward-looking statement to reflect events or circumstances after the date on which the statement was made, or to reflect the occurrence of unanticipated events. Forward-looking statements should not be relied upon as predictions of future events or as the basis for any investment or financing decision.

Platform & Operations
Article 8
Platform Disclosures

The following disclosures apply specifically to each of the Baron Meddy Financial platforms. These disclosures supplement the platform-specific terms set forth in the Terms of Use and are provided to ensure full transparency regarding the nature, limitations, and regulatory status of each platform:

  • yieldOS: yieldOS is a capital markets facilitation platform. It does not itself lend, invest, or deploy capital. All capital deployment activities facilitated through yieldOS are conducted by licensed institutional partners. yieldOS does not guarantee the availability of financing for any applicant, the performance of any financing product, or the return of any capital deployed. Access to capital partner features on yieldOS is restricted to Accredited Investors and Qualified Institutional Buyers.
  • BMRegistry: BMRegistry is a government procurement intelligence platform. The procurement opportunity data provided through BMRegistry is sourced from publicly available government procurement databases and licensed data sources. Baron Meddy Financial does not guarantee the accuracy, completeness, or currency of procurement data and makes no representation regarding the likelihood of contract award for any specific opportunity. The financing features available through BMRegistry are facilitated through yieldOS and are subject to the same disclosures applicable to that platform.
  • BMIQ: BMIQ is a global business intelligence platform. The data and analytics provided through BMIQ are sourced from a range of public, licensed, and proprietary data sources. Baron Meddy Financial does not warrant the accuracy, completeness, or timeliness of BMIQ data, which is provided for informational purposes only and should not be relied upon as the sole basis for any investment, business, or financial decision. BMIQ data is licensed for internal use only and may not be redistributed or commercially exploited without written authorization.
  • ScoreStride: ScoreStride is a credit building and financial wellness platform. ScoreStride does not guarantee any specific improvement in credit scores or financing eligibility as a result of its use. Credit outcomes are determined by credit bureaus and lenders based on a wide range of factors outside ScoreStride's control. ScoreStride's financing readiness assessments are informational only and do not constitute pre-approval for any credit product. ScoreStride processes credit data in compliance with the Fair Credit Reporting Act and applicable state law.
Article 9
Third-Party Partner Disclosures

Baron Meddy Financial's platforms and services operate in connection with a network of third-party institutional partners, service providers, and data vendors. The following disclosures are provided regarding these third-party relationships:

  • Licensed Banking and Institutional Partners: All lending, capital deployment, and regulated financial activities facilitated through Baron Meddy Financial's platforms are conducted through licensed, regulated, and insured financial institutions and institutional partners. These partners are independently regulated and are responsible for their own compliance with applicable law. Baron Meddy Financial is not liable for the acts, omissions, or regulatory violations of its institutional partners.
  • KYC and Identity Verification Partners: Baron Meddy Financial engages third-party identity verification and email validation service providers — including ZeroBounce — to perform KYC-adjacent verification and data enrichment functions. These providers operate as data processors under formal data processing agreements. Their use is governed by the Baron Meddy Financial Privacy Policy.
  • Data Providers: BMIQ and other Baron Meddy Financial platforms source data from licensed commercial data providers and publicly available databases. Baron Meddy Financial does not independently verify all third-party data and is not responsible for inaccuracies in data sourced from third parties.
  • Technology Infrastructure: Baron Meddy Financial's platforms are hosted on third-party cloud and managed hosting infrastructure. These infrastructure providers have access to technical data associated with platform operations as part of their hosting services and are engaged under appropriate data security and confidentiality agreements.
  • No Endorsement: References to third-party companies, platforms, institutions, or service providers on the Baron Meddy Financial website or platforms do not constitute an endorsement, recommendation, or warranty of those parties' products, services, or conduct. Baron Meddy Financial is not responsible for the content, practices, or policies of third-party entities referenced on its website.
Article 10
Jurisdictional Availability

The services, platforms, and financial products offered by Baron Meddy Financial Inc. are subject to the laws and regulations of multiple jurisdictions. The availability of specific services, platform features, and financing products may vary significantly by jurisdiction and may be restricted, limited, or wholly unavailable in certain countries, states, or territories.

  • United States: Baron Meddy Financial's primary operations, platforms, and services are designed for use within the United States. Certain platform features — particularly those involving private credit and capital markets activities — are subject to federal and state securities laws that restrict access to Accredited Investors and Qualified Institutional Buyers.
  • International Users: Access to the Baron Meddy Financial website and certain informational content — including BMIQ — may be available to international users. However, capital markets services, financing products, and investment-related platform features are currently available primarily to U.S.-based participants. International users accessing platform features are solely responsible for determining whether such access is lawful in their jurisdiction.
  • Restricted Jurisdictions: Baron Meddy Financial does not offer services or accept participants from jurisdictions that are subject to comprehensive U.S. economic sanctions, including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine. Access from these jurisdictions is prohibited.
  • Global Expansion: Baron Meddy Financial has stated intentions to expand its platforms and services into additional international markets. As this expansion occurs, jurisdiction-specific versions of the website and associated legal documentation will be published, and applicable local regulatory requirements will be incorporated into the relevant platform terms.

It is the sole responsibility of each user to determine whether their access to and use of Baron Meddy Financial's website, platforms, and services is lawful under the laws of their jurisdiction. Baron Meddy Financial makes no representation that its services are available or appropriate for use in all jurisdictions.

Article 11
Conflicts of Interest

Baron Meddy Financial is committed to identifying, disclosing, and managing actual and potential conflicts of interest that may arise in connection with its business operations and platform activities. The following disclosures are provided regarding known or potential conflicts of interest:

  • Platform and Advisory Dual Role: Baron Meddy Financial operates both advisory service lines and digital platforms through which capital markets transactions are facilitated. In certain circumstances, Baron Meddy Financial may provide advisory services to clients who also use its platforms, which may create a conflict between the Company's interest in platform transaction volume and its obligation to provide objective advisory services. Baron Meddy Financial manages this conflict through internal separation of its advisory and platform functions.
  • Origination Channel Relationships: Baron Meddy Financial maintains relationships with origination channel partners — including entities that generate receivables that flow into the yieldOS capital markets pipeline. These relationships may create an interest in the continued performance and volume of those origination channels. Baron Meddy Financial discloses these relationships to capital partners as part of the platform onboarding process.
  • Affiliate Relationships: Baron Meddy Financial and its founder have interests in other entities that may interact with Baron Meddy Financial's platforms or services. Any material affiliate relationships that could give rise to conflicts of interest will be disclosed to relevant clients and partners on a case-by-case basis as they arise.
  • Fee Arrangements: Baron Meddy Financial may receive fees from institutional partners, platform subscribers, and financing applicants in connection with its services. These fee arrangements may create an incentive to direct clients or capital toward fee-generating activities. All fee arrangements are disclosed to the relevant parties prior to the commencement of any service engagement.

If you have questions about potential conflicts of interest in connection with a specific service engagement or platform activity, please contact us at contact@baronmeddy.com before proceeding. We are committed to full transparency regarding the nature and management of any conflicts that may affect our engagement with you.
