These Terms of Use (hereinafter "Terms," "Agreement," or "Terms of Use") constitute a legally binding agreement between you — whether an individual user, business entity, institutional partner, or any other person accessing or using our website or Platforms — and Baron Meddy Financial Inc., a corporation organized and existing under the laws of the State of New York, United States of America, with its principal place of business at 285 Fulton Street, New York, NY 10007 (hereinafter referred to as "Baron Meddy Financial," "the Company," "we," "us," or "our").

Baron Meddy Financial is a capital markets infrastructure firm operating at the intersection of institutional finance and financial technology. The Company provides advisory services, audit and assurance services, escrow services, management consulting, mergers and acquisitions advisory, financial advisory, and operates a suite of integrated digital platforms — including yieldOS, BMRegistry, BMIQ, and ScoreStride — that together form a connected private capital markets ecosystem.

These Terms govern your access to and use of the Baron Meddy Financial website located at www.baronmeddy.com and all associated subpages, subdomains, and affiliated platform URLs (collectively, "the Website"), as well as your access to and use of any products, services, content, or features made available by Baron Meddy Financial through the Website or its Platforms.

Acceptance of Terms

By accessing, browsing, registering on, or otherwise using the Baron Meddy Financial Website or any of its Platforms, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use, together with our Privacy Policy and any other policies, guidelines, or supplemental terms referenced herein or made available on our Website, all of which are incorporated into these Terms by reference.

Your acceptance of these Terms is indicated by any of the following acts:

  • Accessing or browsing any page of the Baron Meddy Financial Website;
  • Clicking "I agree," "Accept," or any similar acceptance button presented during platform registration or onboarding;
  • Submitting a contact form, inquiry form, newsletter subscription, or capital partner application through our Website;
  • Creating an account or registering on any of the Baron Meddy Financial Platforms;
  • Using any feature, product, or service provided by Baron Meddy Financial through the Website or Platforms.

Confidential InformationAny non-public information disclosed by either party in connection with the use of the Services or Platforms, including financial data, business plans, technical specifications, and client information.
Intellectual PropertyAll patents, trademarks, service marks, trade names, copyrights, trade secrets, domain names, platform code, platform designs, and other intellectual property rights owned or licensed by Baron Meddy Financial.

Words importing the singular shall include the plural and vice versa. Headings are for convenience only and shall not affect the interpretation of any provision. References to specific laws or regulations shall include any amendments, re-enactments, or successor provisions.

Article 4
Eligibility & Permitted Users

Access to and use of the Baron Meddy Financial Website and Platforms is subject to the following eligibility requirements. By using the Website or Platforms, you represent and warrant that you meet all applicable eligibility requirements:

  • Age Requirement: You must be at least 18 years of age, or the age of majority in your jurisdiction if higher, to access or use the Baron Meddy Financial Website or Platforms. Use by minors is strictly prohibited. If we become aware that a minor has accessed our Website or Platforms, we will take immediate steps to terminate that access and delete any associated data.
  • Legal Capacity: You must have the full legal capacity to enter into a binding contract under the laws of your jurisdiction. If you are accessing the Website or Platforms on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
  • Jurisdictional Eligibility: Your access to and use of the Website and Platforms must be lawful under the laws of your jurisdiction. It is your sole responsibility to determine whether your use of the Website and Platforms is permitted under applicable law. Access from jurisdictions where such access is prohibited is not permitted.
  • Non-Sanctioned Status: You must not be listed on any government sanctions list, including the U.S. Office of Foreign Assets Control (OFAC) Specially Designated Nationals list, the EU Consolidated List of Persons, Groups and Entities, or any other applicable sanctions list. Access by sanctioned persons or entities is strictly prohibited.
  • Platform-Specific Eligibility: Certain Platforms and Services — particularly those involving capital markets activities, private credit products, and investment opportunities — are available only to Accredited Investors and Qualified Institutional Buyers as defined under applicable federal securities law. Platform-specific eligibility requirements are set forth in Articles 7 through 10 of these Terms.

Baron Meddy Financial reserves the right to verify your eligibility at any time and to deny, suspend, or terminate access to the Website or Platforms where eligibility requirements are not met or cannot be verified.

Article 5
Description of Services & Platforms

Baron Meddy Financial provides a suite of integrated financial services and digital platforms designed to facilitate the flow of institutional capital to creditworthy borrowers, government contractors, and growing enterprises. Our services and platforms are described below at a general level; platform-specific terms are set forth in Articles 7 through 10.

  • Advisory Services: Baron Meddy Financial offers professional advisory services including audit and assurance, escrow services, government contract financing advisory, management consulting, mergers and acquisitions advisory, and financial advisory services. These services are provided to institutional and commercial clients under separate engagement agreements.
  • yieldOS: A capital markets facilitation platform connecting institutional capital partners with creditworthy borrowers in freight logistics and government contracting, through a structured pipeline incorporating KYC intake, credit underwriting, capital partner marketplace functionality, and repayment infrastructure.
  • BMRegistry: A government procurement intelligence platform providing federal and state contractors with access to procurement data, contract opportunity intelligence, and embedded financing solutions through integration with yieldOS.
  • BMIQ: A global business intelligence platform providing institutional decision-makers, capital partners, and government contractors with actionable data across 15 segments including countries, companies, infrastructure, compliance, and investment opportunities.
  • ScoreStride: A credit building and financial wellness platform for consumers and businesses, providing credit monitoring, tradeline management, score improvement tools, and financing readiness assessments.

Baron Meddy Financial reserves the right to modify, suspend, discontinue, or expand any Service or Platform at any time, with or without notice, subject to the notification obligations set forth in Article 28 of these Terms. We do not warrant that any Service or Platform will be available continuously or without interruption.

Article 6
Platform Access & Registration

Access to certain features of the Baron Meddy Financial Website and Platforms requires the creation of a registered account. The following terms govern the registration and account management process:

  • Accurate Registration Information: You agree to provide accurate, current, and complete information during the registration process, and to promptly update your account information whenever it becomes inaccurate or incomplete. Providing false or misleading registration information is a material breach of these Terms and may result in immediate account termination.
  • Account Credentials: You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree not to share your credentials with any third party, not to use another user's credentials, and to notify Baron Meddy Financial immediately of any suspected unauthorized use of your account.
  • Single Account Policy: Unless expressly authorized by Baron Meddy Financial in writing, each individual or entity may maintain only one active account per Platform. The creation of multiple accounts to circumvent access restrictions, eligibility requirements, or usage limits is prohibited.
  • Account Activity Responsibility: You are fully responsible for all activity conducted through your account, whether or not authorized by you. Baron Meddy Financial is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.
  • KYC Verification: Certain Platforms — particularly yieldOS and BMRegistry — require completion of a Know Your Customer (KYC) verification process before full platform access is granted. You agree to cooperate fully with the KYC verification process and to provide all documentation requested by Baron Meddy Financial or its verification partners.
Article 7
yieldOS — Specific Terms

yieldOS is Baron Meddy Financial's capital markets facilitation platform. Access to and use of yieldOS is subject to the following specific terms, in addition to the general Terms set forth in this Agreement:

  • Restricted Access: Access to yieldOS as a capital partner or lender is restricted to Accredited Investors and Qualified Institutional Buyers as defined under applicable federal securities law. Access as a borrower requires completion of the KYC intake and credit underwriting process. Misrepresentation of accreditation status is a serious legal violation.
  • No Guarantee of Financing: Submission of a financing application through yieldOS does not constitute a commitment by Baron Meddy Financial or any capital partner to provide financing. All financing decisions are subject to credit underwriting, due diligence, and capital partner approval at their sole discretion.
  • Facilitation Only: Baron Meddy Financial acts as a facilitator of capital markets transactions through yieldOS and is not a party to any financing agreement between borrowers and capital partners. All financing agreements are entered into directly between borrowers and the applicable licensed lending institution or capital partner.
  • Regulated Transaction Partners: All capital deployment and lending activities facilitated through yieldOS are conducted through licensed, regulated, and insured financial institutions and banking partners. Baron Meddy Financial does not directly lend, invest, or deploy capital on its own balance sheet through yieldOS.
  • Data Accuracy: You are solely responsible for the accuracy and completeness of all information submitted through the yieldOS platform, including financial statements, business registration data, receivables documentation, and identity verification materials. Submission of false or misleading information is a violation of these Terms and may constitute fraud under applicable law.
Article 8
BMRegistry — Specific Terms

BMRegistry is Baron Meddy Financial's government procurement intelligence platform. Access to and use of BMRegistry is subject to the following specific terms:

  • Accuracy of Contractor Information: Users registering as government contractors on BMRegistry represent and warrant that all information provided — including business registration details, DUNS/SAM registration, past performance records, and awarded contract information — is accurate, current, and complete. BMRegistry reserves the right to verify contractor information through independent sources.
  • Intelligence Data Use: Procurement intelligence data provided through BMRegistry is licensed for the personal or internal business use of the registered user only. Redistribution, resale, or commercial exploitation of BMRegistry intelligence data without the express written consent of Baron Meddy Financial is strictly prohibited.
  • Financing Integration: The embedded financing functionality available through BMRegistry is facilitated through yieldOS and is subject to the yieldOS-specific terms set forth in Article 7 of these Terms, in addition to the terms set forth in this Article.
  • No Guarantee of Contract Awards: BMRegistry provides procurement intelligence to assist contractors in identifying and pursuing government contract opportunities. Use of BMRegistry does not guarantee the award of any contract, and Baron Meddy Financial makes no representations regarding the likelihood of contract award for any specific opportunity.
  • Government Data Compliance: Users of BMRegistry agree to use all government procurement data accessed through the platform in compliance with applicable law, including restrictions on the use of federal procurement data set forth in the Federal Acquisition Regulation (FAR) and other applicable regulations.
Article 9
BMIQ — Specific Terms

BMIQ is Baron Meddy Financial's global business intelligence platform. Access to and use of BMIQ is subject to the following specific terms:

  • Licensed Data Use: All data, intelligence, reports, and analytical content made available through BMIQ is proprietary to Baron Meddy Financial or licensed from third-party data providers. You are granted a limited, non-exclusive, non-transferable license to access and use BMIQ data for your own internal business purposes only.
  • Prohibited Data Uses: You may not use BMIQ data to: (i) create competing intelligence products or services; (ii) resell or redistribute BMIQ data to third parties without written authorization; (iii) train machine learning or artificial intelligence models; (iv) conduct automated data scraping or bulk extraction; or (v) any purpose that violates applicable law or the rights of third parties whose data is included in BMIQ intelligence.
  • International Data: BMIQ provides intelligence across multiple countries and jurisdictions. Users are responsible for ensuring that their use of country-specific data complies with applicable local laws, including data protection laws, export restrictions, and sanctions regulations applicable in their jurisdiction.
  • Data Accuracy Disclaimer: While BMIQ strives to provide accurate and current intelligence, the data provided is sourced from a range of public, licensed, and proprietary sources and may not always reflect the most current state of affairs. BMIQ data should be used as one input among many in decision-making processes, and should not be relied upon as the sole basis for any investment, financial, or business decision.
  • Subscription Terms: Access to BMIQ may be subject to a paid subscription. Subscription fees, billing cycles, cancellation terms, and refund policies applicable to BMIQ subscriptions are set forth in the BMIQ platform terms and the billing terms described in Article 19 of these Terms.
Article 10
ScoreStride — Specific Terms

ScoreStride is Baron Meddy Financial's credit building and financial wellness platform. Access to and use of ScoreStride is subject to the following specific terms:

  • Credit Data Handling: ScoreStride processes sensitive financial and credit data in connection with its credit monitoring and building services. All credit data is handled in accordance with the Fair Credit Reporting Act (FCRA), applicable state credit reporting laws, and the Baron Meddy Financial Privacy Policy. ScoreStride does not use credit data for purposes that constitute consumer reporting under the FCRA without the user's explicit consent.
  • No Credit Repair Guarantees: ScoreStride provides tools and resources designed to assist users in building and improving their credit profiles. However, Baron Meddy Financial makes no guarantee that use of ScoreStride will result in any specific improvement in credit scores, credit ratings, or financing eligibility. Credit outcomes depend on a range of factors outside the control of ScoreStride or Baron Meddy Financial.
  • Tradeline Services: Where ScoreStride offers tradeline addition or credit building services involving the reporting of account activity to credit bureaus, such services are provided in compliance with applicable credit reporting regulations. Users consent to the reporting of relevant account information to applicable credit reporting agencies as a condition of using tradeline services.
  • Financing Readiness: ScoreStride's financing readiness assessments are informational tools designed to help users understand their potential eligibility for financing through Baron Meddy Financial's Platforms. A positive readiness assessment does not constitute a commitment to provide financing or a pre-approval for any credit product.
  • Consumer Financial Protection: Users of ScoreStride who are natural persons have rights under applicable consumer financial protection law, including the Consumer Financial Protection Act, the FCRA, and applicable state consumer protection statutes. Nothing in these Terms limits any right you may have under applicable consumer financial protection law.
User Obligations
Article 11
Permitted Use & Prohibited Conduct

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Baron Meddy Financial Website and Platforms for their intended purposes and in accordance with these Terms. The following conduct is expressly prohibited:

  • Unauthorized Access: Attempting to gain unauthorized access to any part of the Website or Platforms, any server or system connected to the Website or Platforms, or any account belonging to another user, through any means including hacking, password mining, social engineering, or exploitation of security vulnerabilities.
  • Automated Scraping: Using bots, crawlers, scrapers, data mining tools, or any other automated means to access, collect, or extract data from the Website or Platforms without the express written consent of Baron Meddy Financial.
  • Interference: Introducing viruses, malware, ransomware, worms, logic bombs, or any other malicious or harmful code into the Website or Platforms, or otherwise interfering with the operation, security, or integrity of the Website or Platforms or the servers and networks connected to them.
  • Misrepresentation: Impersonating Baron Meddy Financial, its employees, representatives, or partners, or misrepresenting your identity, affiliation, or accreditation status in connection with any use of the Website or Platforms.
  • Unlawful Use: Using the Website or Platforms for any purpose that violates applicable law, including but not limited to securities fraud, money laundering, terrorist financing, market manipulation, or any other financial crime.
  • Reverse Engineering: Reverse engineering, decompiling, disassembling, or attempting to derive the source code of any software component of the Website or Platforms.
  • Content Misuse: Reproducing, distributing, publicly displaying, or creating derivative works from any Content made available through the Website or Platforms without the express written consent of Baron Meddy Financial.
  • Commercial Exploitation: Using the Website or Platforms, or any Content made available therein, for any commercial purpose not expressly authorized by Baron Meddy Financial in writing.

Violation of any of the above prohibitions may result in immediate termination of your access, civil liability, criminal prosecution, and any other remedies available to Baron Meddy Financial under applicable law.

Article 12
User Representations & Warranties

By accessing or using the Baron Meddy Financial Website or Platforms, you represent, warrant, and covenant to Baron Meddy Financial as follows, on a continuing basis for the duration of your use:

  • You have read, understood, and agree to be bound by these Terms of Use and all policies incorporated herein by reference;
  • All information you provide to Baron Meddy Financial through the Website or Platforms — including registration information, KYC documentation, financial data, and inquiry content — is and will remain accurate, current, complete, and not misleading;
  • You are accessing and using the Website and Platforms for lawful purposes only, and your use does not and will not violate any applicable federal, state, local, or international law or regulation;
  • You are not subject to any sanctions, debarment, or exclusion under applicable U.S. or international law that would prohibit you from engaging in financial transactions or accessing financial services platforms;
  • Where you represent that you are an Accredited Investor, you meet and will continue to meet the definition of Accredited Investor under applicable securities law for the duration of any investment or financing activity you conduct through the Platforms;
  • Where you access the Website or Platforms on behalf of a business entity, you have full authority to bind that entity to these Terms, and the entity is duly organized, validly existing, and in good standing under the laws of its jurisdiction of formation;
  • Your use of the Website and Platforms does not and will not infringe, misappropriate, or violate the intellectual property rights, privacy rights, or other legal rights of any third party.
Article 13
Account Security & Responsibility

The security of your account and the data associated with it is a shared responsibility between you and Baron Meddy Financial. Baron Meddy Financial implements institutional-grade security measures to protect account data, as described in the Privacy Policy. Your responsibilities with respect to account security include:

  • Strong Credentials: Creating and maintaining strong, unique passwords for your account that are not shared with or reused across other services. We recommend using a password of at least 12 characters incorporating letters, numbers, and symbols.
  • Multi-Factor Authentication: Where multi-factor authentication (MFA) is available on the Platforms, you are strongly encouraged — and in certain cases required — to enable and maintain MFA on your account. Baron Meddy Financial is not liable for unauthorized account access where MFA was available but not enabled by the user.
  • Prompt Notification: Notifying Baron Meddy Financial immediately at contact@baronmeddy.com if you suspect or become aware of any unauthorized access to your account, disclosure of your credentials, or any other security incident affecting your account.
  • Secure Device Use: Accessing your account only from secure, trusted devices and networks. Accessing platform accounts from shared, public, or unsecured devices or networks is done at your own risk.
  • Account Transfer Prohibition: Account credentials and access rights are personal and non-transferable. You may not transfer, sell, or otherwise assign your account or account access to any third party without the express written consent of Baron Meddy Financial.

Baron Meddy Financial is not liable for any loss, damage, or unauthorized transaction resulting from your failure to comply with the account security obligations set forth in this Article, or from your disclosure of account credentials to unauthorized parties.

Article 14
Intellectual Property & Ownership

All intellectual property rights in and to the Baron Meddy Financial Website, Platforms, and Content — including but not limited to trademarks, service marks, trade names, copyrights, patents, trade secrets, platform code, platform design, data architectures, financial models, research publications, white papers, and all other proprietary materials — are and shall remain the exclusive property of Baron Meddy Financial Inc. or its licensors.

Nothing in these Terms shall be construed as transferring or licensing any intellectual property rights to you, except for the limited access license expressly granted in Article 11 of these Terms. Specifically:

  • The "Baron Meddy Financial," "yieldOS," "BMRegistry," "BMIQ," and "ScoreStride" names, logos, and brand identifiers are trademarks of Baron Meddy Financial Inc. You may not use these trademarks in connection with any product, service, or communication without the prior written consent of Baron Meddy Financial.
  • All platform code, software, algorithms, data models, and technical architectures underlying the Baron Meddy Financial Platforms are proprietary trade secrets of Baron Meddy Financial. Unauthorized access to, copying of, or disclosure of such code or architectures is prohibited and may constitute misappropriation of trade secrets under applicable law.
  • Research publications, market intelligence reports, white papers, and insights published by Baron Meddy Financial are protected by copyright. You may share links to such publications but may not reproduce, redistribute, or create derivative works from them without written authorization.
  • User-generated content submitted through the Website or Platforms — including inquiry messages, application data, and uploaded documents — remains your property, but you grant Baron Meddy Financial a non-exclusive, royalty-free license to use such content for the purposes of providing the requested Services and fulfilling our legal obligations.

Any unauthorized use of Baron Meddy Financial's intellectual property may result in civil and criminal liability under applicable intellectual property law, in addition to immediate termination of your access to the Website and Platforms.

Financial & Regulatory
Article 15
Not a Bank or Broker-Dealer

Baron Meddy Financial Inc. and its subsidiaries, affiliates, and associated Platforms are not banks, federally or state-chartered depository institutions, registered broker-dealers, registered investment advisers, or licensed lenders under applicable federal or state law. This fundamental distinction has important implications for your use of our Services and Platforms:

  • No Deposit Taking: Baron Meddy Financial does not accept deposits, hold client funds in custody, or provide any service that constitutes deposit taking under applicable banking law. Funds involved in transactions facilitated through our Platforms are held and managed by licensed banking and institutional partners, not by Baron Meddy Financial directly.
  • No Securities Brokerage: Baron Meddy Financial does not act as a registered broker-dealer in connection with any activity facilitated through its Platforms. The facilitation of introductions between borrowers and capital partners through yieldOS does not constitute securities brokerage, and Baron Meddy Financial does not receive transaction-based compensation that would require broker-dealer registration.
  • No Banking Regulatory Protection: Because Baron Meddy Financial is not a bank or insured depository institution, funds and assets involved in transactions facilitated through our Platforms are not insured by the Federal Deposit Insurance Corporation (FDIC) or any other federal or state deposit insurance program.
  • Regulated Activity Through Partners: All activities that require a banking license, broker-dealer registration, lending license, or other regulatory authorization are conducted through Baron Meddy Financial's licensed institutional partners, which are separately regulated entities. Baron Meddy Financial facilitates access to these regulated activities but does not itself conduct them.
Important: If you have questions about the regulatory status of any activity facilitated through Baron Meddy Financial's Platforms, you are strongly encouraged to consult with a qualified legal or financial adviser before proceeding.

No Investment Advice

Nothing on the Baron Meddy Financial Website, in any of its publications, or through any of its Platforms constitutes investment advice, financial advice, legal advice, tax advice, or any other form of professional advice. All content, data, intelligence, market commentary, and platform features are provided for informational and operational purposes only.

Specifically:

  • The BMIQ business intelligence platform provides data and analytical content that may be relevant to investment and business decisions. This content is provided as information only and does not constitute a recommendation to invest in, divest from, or take any other action with respect to any security, company, country, or asset.
  • The yieldOS platform facilitates introductions between borrowers and capital partners but does not evaluate, recommend, or advise on the suitability of any financing arrangement for any particular borrower or lender.
  • Market commentary, insights, and research publications produced by Baron Meddy Financial reflect the views of the authors at the time of publication and are not updated to reflect subsequent developments. They should not be relied upon as current or comprehensive analyses of market conditions.

Accredited Investor Requirements

Access to certain capital markets activities, private credit products, and investment opportunities facilitated through the Baron Meddy Financial Platforms — particularly yieldOS — is restricted by law to Accredited Investors and Qualified Institutional Buyers (QIBs) as defined under applicable federal securities law.

For purposes of these Terms, an "Accredited Investor" is an individual or entity meeting the definition set forth in Rule 501(a) of Regulation D under the Securities Act of 1933, as amended, which generally includes:

  • Fee Transparency: All applicable fees for Services and Platform subscriptions are disclosed to you prior to your commitment to purchase. Baron Meddy Financial will not charge fees that have not been disclosed and agreed to in advance.
  • Service Fees: Fees for advisory, audit, escrow, consulting, and capital markets services are set forth in individual engagement letters or service agreements entered into between you and Baron Meddy Financial prior to the commencement of services. These Terms govern the general framework, while the engagement letter governs the specific fee arrangements for each engagement.
  • Platform Subscription Fees: Where access to a Platform feature is subject to a subscription fee — including but not limited to BMIQ subscriptions and certain yieldOS access tiers — the applicable fees, billing cycle, and payment terms are presented to you at the time of subscription and are incorporated herein by reference.
  • Payment Methods: Baron Meddy Financial accepts payment through the methods specified on the applicable Platform or engagement documentation. All payments are processed through secure, PCI-compliant payment infrastructure.
  • Refund Policy: Subscription fees are generally non-refundable except where required by applicable law or as expressly stated in the applicable Platform terms. Service fees paid under engagement letters are subject to the refund terms, if any, set forth in the applicable engagement letter.
  • Late Payment: Where fees are not paid by the applicable due date, Baron Meddy Financial reserves the right to suspend access to the relevant Platform or Service until outstanding fees are settled, and to charge interest on overdue amounts at the maximum rate permitted by applicable law.

Force Majeure

  • Acts of war, terrorism, civil unrest, insurrection, or government-imposed sanctions or embargoes;

Termination & Suspension

These Terms remain in effect for as long as you use the Baron Meddy Financial Website or Platforms. Either party may terminate this agreement as follows:

  • Termination by You: You may terminate your agreement with Baron Meddy Financial at any time by ceasing all use of the Website and Platforms and, where applicable, closing your account through the account management features of the relevant Platform or by contacting us at contact@baronmeddy.com. Termination does not relieve you of any obligations that accrued prior to termination, including payment obligations and indemnification obligations.
  • Termination by Baron Meddy Financial: Baron Meddy Financial reserves the right to terminate or suspend your access to the Website and Platforms, with or without notice, for any of the following reasons: (i) material breach of these Terms; (ii) conduct that Baron Meddy Financial reasonably believes to be fraudulent, illegal, or harmful to Baron Meddy Financial or other users; (iii) failure to meet or maintain eligibility requirements; (iv) non-payment of applicable fees; (v) regulatory or legal requirement; or (vi) discontinuation of the relevant Platform or Service.
  • Suspension Pending Investigation: Baron Meddy Financial may suspend your account access pending investigation of suspected violations of these Terms or applicable law, without prior notice where immediate suspension is necessary to prevent harm or preserve evidence.
  • Effect of Termination: Upon termination, your license to access and use the Website and Platforms immediately terminates. Sections of these Terms that by their nature should survive termination — including Intellectual Property, Indemnification, Limitation of Liability, Dispute Resolution, and Confidentiality — shall survive termination indefinitely.

Governing Law & Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Subject to the arbitration provisions set forth in Article 26, any legal action or proceeding arising out of or relating to these Terms, the Website, or the Platforms that is not subject to arbitration shall be brought exclusively in the federal or state courts of competent jurisdiction located in New York County, New York. Dispute Resolution & Arbitration

Baron Meddy Financial encourages the informal resolution of disputes before resorting to formal legal proceedings. We will attempt to resolve your concern within 30 days of receipt.

If informal resolution is unsuccessful, disputes shall be resolved as follows:

  • Exceptions to Arbitration: Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration, and Baron Meddy Financial may pursue claims for intellectual property infringement or misappropriation in court.
  • Arbitration Costs: The costs of arbitration shall be allocated in accordance with the AAA Commercial Arbitration Rules. Baron Meddy Financial will not seek an award of attorneys' fees in connection with any arbitration involving claims of less than $10,000, unless the arbitrator determines that your claim was brought in bad faith.

Severability & Entire Agreement

Severability: If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if it cannot be so modified, it shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.

Entire Agreement: These Terms of Use, together with the Privacy Policy, Cookie Policy, Disclosures, and any applicable engagement letters, platform-specific terms, or supplemental agreements, constitute the entire agreement between you and Baron Meddy Financial with respect to your use of the Website and Platforms, and supersede all prior and contemporaneous negotiations, discussions, agreements, representations, and understandings, whether written or oral, with respect to the subject matter hereof.

No Waiver: Baron Meddy Financial's failure to enforce any provision of these Terms on any particular occasion shall not constitute a waiver of its right to enforce that provision or any other provision on any subsequent occasion. No waiver of any breach of these Terms shall be construed as a waiver of any subsequent breach.

In the course of your engagement with Baron Meddy Financial — whether through advisory engagements, capital partner discussions, platform onboarding, or any other interaction — you may receive, access, or become aware of Confidential Information belonging to Baron Meddy Financial or its clients, partners, or platform users. The following confidentiality obligations apply:

  • Definition of Confidential Information: "Confidential Information" means any non-public information disclosed by Baron Meddy Financial or any of its clients, partners, or users in connection with the Services or Platforms, including but not limited to: financial data, credit information, business plans, platform architecture and code, underwriting methodologies, capital partner identities and investment parameters, client lists, pricing structures, proprietary data models, and any information marked or designated as confidential at the time of disclosure.
  • Obligations of Confidentiality: You agree to: (i) maintain the confidentiality of all Confidential Information you receive in connection with your use of the Services or Platforms; (ii) use Confidential Information solely for the purpose for which it was disclosed; (iii) not disclose Confidential Information to any third party without the prior written consent of Baron Meddy Financial or the applicable disclosing party; and (iv) apply at least the same degree of care to protecting Confidential Information as you apply to your own most sensitive confidential information, and no less than a reasonable degree of care.

Official Language: These Terms of Use are drafted in the English language. English is the official and controlling language of these Terms. In the event that these Terms are translated into any other language — whether for the purposes of international market expansion, regulatory compliance, or user convenience — the English language version shall prevail and control in the event of any conflict, inconsistency, or ambiguity between the English version and any translation.
